1. Geltungsbereich
Diese Allgemeinen Geschäftsbedingungen (AGB) der Yoyoni GmbH (nachfolgend „Yoyoni“) regeln die Rechte und Pflichten in Zusammenhang mit der Nutzung der Website www.yoyoni.com und des Online-Shops auf dieser Seite. Zwischen Yoyoni und ihren Kunden gelten die nachfolgenden Allgemeinen Geschäftsbedingungen (AGB) in der bei Aufruf der Webseite bzw. bei Warenbestellung oder Vertragsschluss aktuell abrufbaren und gültigen Fassung.
Als Kunde wird jede natürliche und juristische Person bezeichnet, welche mit Yoyoni geschäftliche Beziehungen pflegt. Die AGB, und die Liefer- und Zahlungsbedingungen können von Zeit zu Zeit Anpassungen erfahren.
Diese AGB gelten ausschliesslich. Entgegenstehende, ergänzende oder von diesen AGB abweichende Bedingungen bedürfen zur ihrer Geltung der ausdrücklichen schriftlichen Bestätigung durch Yoyoni. Der Kunde bestätigt bei der Nutzung dieser Webseite bzw. bei einer Warenbestellung oder bei Vertragsschluss diese AGB, einschliesslich Liefer- und Zahlungsbedingungen, umfassend anzuerkennen.

3. Preise
Die Preise verstehen sich rein netto in Schweizer Franken (CHF).
Für Bestellungen unter 70.- CHF berechnen wir wegen der kleinen Menge eine Versandgebühr von CHF 6,50.-. Bestellungen ab CHF 70.- sind kostenlos.
Technische Änderungen, Irrtümer und Druckfehler bleiben vorbehalten, insbesondere kann Yoyoni Preisänderungen jederzeit und ohne Vorankündigungen vornehmen
4. Vertragsabschluss
Die Angebote auf www.yoyoni.com stellen eine unverbindliche Aufforderung an den Kunden dar, Produkte zu bestellen. Mit der Bestellung über www.yoyoni.com, inklusive der Annahme dieser AGB, gibt der Kunde ein rechtlich verbindliches Angebot zum Vertragsabschluss ab. Yoyoni versendet daraufhin eine automatische „Bestellbestätigung“ per E-Mail, welche bestätigt, dass das Angebot des Kunden bei Yoyoni eingegangen ist. Getätigte Bestellungen sind für den Kunden verbindlich.
Der Vertrag über ein Warenkauf kommt zustande, sobald Yoyoni eine Annahmeerklärung per E-Mail versendet, worin die Bestellung bestätigt wird und der gesamte Kaufpreis vom Kunden bezahlt wurde.
Bestellungen werden erst nach vollständigem Zahlungseingang und sofern die Waren verfügbar sind, ausgeliefert. Ergibt sich nach Abschluss des Vertrages, dass die bestellten Waren nicht oder nicht vollständig geliefert werden können, ist Yoyoni berechtigt, vom gesamten Vertrag oder von einem Vertragsteil zurückzutreten. Sollte die Zahlung des Kunden bereits bei Yoyoni eingegangen sein, wird die Zahlung dem Kunden zurückerstattet. Ist noch keine Zahlung erfolgt, wird der Kunde von der Zahlungspflicht befreit. Yoyoni ist im Falle einer Vertragsauflösung zu keiner Ersatzlieferung verpflichtet.
Der Vertrag über eine Beratungsdienstleistung kommt zustande, sobald Yoyoni gegenüber dem Auftraggeber ausdrücklich die Annahme des Auftrags erklärt.
5. Zahlung
Beim Warenkauf stehen dem Kunden die im Bestellvorgang angegebenen Zahlungsmöglichkeiten (Vorkasse, Kreditkarte und Paypal) zur Verfügung. Unabhänging von der Zahlungsmethode ist eine Bestellung verbindlich.
Der Kaufpreis wird beim Erhalt der Bestellbestätigung fällig. Erfolgt die Zahlung nicht binnen 20 Tagen nach Fälligkeitseintritt, gerät der Kunde in Verzug. In diesem Fall behält Yoyoni sich das Recht vor, den Kunden neben dem Rechnungsbetrag eine Mahngebühr in Höhe von CHF 7,00 pro Mahnung in Rechnung zu stellen. Der offene Rechnungsbetrag (inkl. Verzugszinsen und Mahngebühren) kann zum Zwecke des Inkassos abgegeben oder verkauft werden. Der Kunde ist neben der Begleichung des Rechnungsbetrages auch zum Ersatz sämtlicher Kosten verpflichtet, die durch den Zahlungsverzug entstehen.
Sie sind damit einverstanden, dass Sie Rechnungen, Gutschriften und Mahnungen in elektronischer oder in Papier-Form erhalten.
6. Lieferung, Prüfpflicht, Mängelrüge und Rücksendung
Die Lieferungen werden per Post an die vom Kunden in der Bestellung angegebene Adresse versandt. Mit dem Versand gehen Nutzen und Gefahr auf den Kunden über, soweit dies gesetzlich zulässig ist.
Ist die Lieferung nicht zustellbar oder verweigert der Kunde die Annahme der Lieferung, kann Yoyoni den Vertrag nach einer Rüge-Mitteilung per E-Mail an den Kunden und unter Ansetzung einer angemessenen Frist auflösen sowie die Kosten für die Umtriebe in Rechnung stellen.
Der Kunde ist verpflichtet, die gelieferten Waren sofort nach Eingang der Lieferung zu prüfen und allfällige Mängel, für die Yoyoni Gewähr leistet, unverzüglich schriftlich per Brief oder E-Mail an die Adresse im Impressum von www.yoyoni.com Anzeige zu machen.
Rücksendungen an Yoyoni aufgrund von Mängel erfolgen auf Rechnung und Gefahr des Kunden. Der Kunde hat die Waren originalverpackt, komplett mit allem Zubehör und zusammen mit dem Lieferschein und einer ausführlichen Beschreibung der Mängel an die von Yoyoni angegebene Rücksendeadresse im Impressum von www.yoyoni.com zu schicken.
Ergibt sich bei der Prüfung durch YOYONI, dass die Waren keine feststellbaren Mängel aufweisen oder diese nicht unter die Garantie des Herstellers fallen, kann YOYONI die Umtriebe, die Rücksendung oder die allfällige Entsorgung dem Kunden in Rechnung stellen
7. Widerrufsrecht beim Warenkauf
Dem Kunden wird während 10 Kalendertagen nach Erhalt der Ware ein Widerrufsrecht gewährt. Die Frist gilt als eingehalten, wenn der Kunde den schriftlichen Widerruf per E-Mail oder Brief (Adresse angegeben im Impressum von www.yoyoni.ch) innerhalb der Frist an Yoyoni abschickt. Der Widerruf bedarf keiner Begründung.
Die Ausübung des Widerrufsrechts führt zu einer Rückabwicklung des Vertrages. Der Kunde muss die Waren innert 10 Kalendertagen originalverpackt und ungeöffnet, komplett mit allem Zubehör und zusammen mit dem Lieferschein an die von Yoyoni angegebene Rücksendeadresse (Adresse angegeben im Impressum von www.yoyoni.com) zurücksenden. Geöffnete Waren können nicht retourniert werden. Rücksendungen an Yoyoni erfolgen auf Rechnung und Gefahr des Kunden. Eine allenfalls bereits geleistete Zahlung wird innerhalb von 20 Kalendertagen an den Kunden zurückerstattet, sofern Yoyoni die Ware bereits zurückerhalten hat oder der Kunde einen Versandnachweis erbringen kann. Umtriebe der Rückerstattung werden dem Kunden von der rückerstattete Summe abgezogen
8. Gewährleistung beim Warenkauf
Yoyoni bemüht sich, Waren in einwandfreier Qualität zu liefern. Bei rechtzeitig gerügten Mängeln übernimmt Yoyoni während der gesetzlichen Gewährleistungsfrist von zwei Jahren seit dem Lieferdatum die Gewährleistung für Mängelfreiheit und Funktionsfähigkeit des vom Kunden erworbenen Gegenstandes. Es liegt im Ermessen von Yoyoni die Gewährleistung durch kostenlose Reparatur, gleichwertigen Ersatz oder durch Rückerstattung des Kaufpreises zu erbringen. Weitere Ansprüche sind ausgeschlossen.
Von der Gewährleistung werden die normale Abnützung sowie die Folgen unsachgemässer Behandlung oder Beschädigung durch den Kunden oder Drittpersonen sowie Mängel, die auf äussere Umstände zurückzuführen sind, nicht erfasst. Ebenso wird die Gewährleistung für Verbrauchs- und Verschleissteile (z.B. Batterien etc.) wegbedungen.
Yoyoni ist es nicht möglich, Zusicherungen oder Garantien für die Aktualität, Vollständigkeit und Korrektheit der Daten sowie für die ständige oder ungestörte Verfügbarkeit der Webseite, deren Funktionalitäten, integrierten Hyperlinks und weiteren Inhalten abzugeben. Insbesondere wird weder zugesichert, noch garantiert, dass durch die Nutzung der Webseite keine Rechte von Dritten verletzt werden, die nicht im Besitz von Yoyoni sind.
9. Haftung
Yoyoni schliesst jede Haftung, unabhängig von ihrem Rechtsgrund, sowie Schadenersatzansprüche gegen Yoyoni und allfällige Hilfspersonen und Erfüllungsgehilfen aus. Yoyoni haftet insbesondere nicht für indirekte Schäden und Mangelfolgeschäden, entgangenen Gewinn oder sonstige Personen-, Sach- und reine Vermögensschäden des Kunden. Yoyoni haftet ebenfalls nicht für Schäden als Folge unrichtiger Handhabung ihrer Produkte. Der Kunde benutzt die Produkte und die zugehörigen Apps von Yoyoni auf eigenes Risiko. Vorbehalten bleibt eine weitergehende zwingende gesetzliche Haftung, beispielsweise für grobe Fahrlässigkeit oder rechtswidrige Absicht.
Der Kunde ist sich bewusst und nimmt in Kauf, dass die auf den zugehörigen Apps der Produkte von Yoyoni gesammelten und/oder übertragenen Daten durch Dritte eingesehen und/oder weiterverwendet werden können und dass Yoyoni dies nicht beeinflussen kann und hierfür jegliche Haftung ablehnt.
Yoyoni benutzt auf www.yoyoni.com Hyperlinks lediglich für den vereinfachten Zugang des Kunden zu anderen Webangeboten. Yoyoni kann weder den Inhalt dieser Webangebote im Einzelnen kennen, noch die Haftung oder sonstige Verantwortung für die Inhalte dieser Webseiten übernehmen
10. Datenschutz
Yoyoni darf die im Rahmen des Vertragsschlusses aufgenommenen Daten zur Erfüllung der Verpflichtungen aus dem Kaufvertrag verarbeiten und nutzen sowie zu Marketingzwecken verwenden. Die zur Leistungserfüllung notwendigen Daten können dazu auch an beauftrage Dienstleistungspartner (Logistikpartner) oder sonstigen Dritten weitergegeben werden.

11. Weitere Bestimmungen
Yoyoni behält sich ausdrücklich vor, die vorliegenden AGB jederzeit zu ändern und ohne Ankündigung in Kraft zu setzen.
Sollten einzelne Bestimmungen dieser AGB ganz oder teilweise nichtig und/oder unwirksam sein, bleibt die Gültigkeit und/oder Wirksamkeit der übrigen Bestimmungen oder Teile solcher Bestimmungen unberührt. Die ungültigen und/oder unwirksamen Bestimmungen werden durch solche ersetzt, die dem Sinn und Zweck der ungültigen und/oder unwirksamen Bestimmungen in rechtwirksamer Weise wirtschaftlich am nächsten kommt. Das gleiche gilt bei eventuellen Lücken der Regelung.
Im Falle von Streitigkeiten kommt ausschliesslich materielles Schweizer Recht unter Ausschluss von kollisionsrechtlichen Normen zur Anwendung. Das UN-Kaufrecht (CISG, Wiener Kaufrecht) wird explizit ausgeschlossen.
Der Gerichtsstand ist Winterthur ZH, soweit das Gesetz keine zwingenden Gerichtsstände vorsieht.

The prices are strictly net in Swiss Francs (CHF).

4. Conclusion of a contract
The offers on www.yoyoni.com represent a non-binding invitation to the customer to order products. With the order via www.yoyoni.com, including the acceptance of these terms and conditions, the customer submits a legally binding offer to conclude a contract. Yoyoni then sends an automatic “order confirmation” by email, which confirms that Yoyoni has received the customer's offer. Placed orders are binding for the customer.

If the customer's payment has already been received by Yoyoni, the payment will be refunded to the customer. If payment has not yet been made, the customer is released from the obligation to pay. If the contract is terminated, Yoyoni is not obliged to make a replacement delivery.
The contract for a consulting service is concluded as soon as Yoyoni expressly declares acceptance of the order to the client.
5. Payment
When purchasing goods, the customer can use the payment options specified in the ordering process (advance payment, credit card and PayPal). Regardless of the payment method, an order is binding.
The purchase price is due upon receipt of the order confirmation. If the payment is not made within 20 days of the due date, the customer is in default. In this case, Yoyoni reserves the right to charge the customer a reminder fee of CHF 7.00 per reminder in addition to the invoice amount. The outstanding invoice amount (including default interest and reminder fees) can be given or sold for the purpose of collection. 6. Delivery, inspection obligation, notification of defects and return

7. Right of withdrawal when purchasing goods
The customer is granted a right of withdrawal for 10 calendar days after receipt of the goods. The deadline is met if the customer sends the written revocation by email or letter (address given in the imprint of www.yoyoni.ch) within the deadline to Yoyoni. The revocation does not require any justification.
Exercising the right of revocation leads to a reversal of the contract. The customer must return the goods within 10 calendar days in their original packaging and unopened, complete with all accessories and together with the delivery note to the return address given by Yoyoni (address given in the imprint of www.yoyoni.com). Opened goods cannot be returned. Returns to Yoyoni are made for the account and risk of the customer. 8. Warranty for the purchase of goods
Yoyoni makes every effort to deliver goods in perfect quality. In the case of defects reported in good time, Yoyoni guarantees that the item purchased by the customer is free from defects and functions during the statutory warranty period of two years from the delivery date. It is at the discretion of Yoyoni to provide the warranty through free repairs, equivalent replacements or through a refund of the purchase price. Further claims are excluded.
The warranty does not cover normal wear and tear and the consequences of improper handling or damage by the customer or third parties, as well as defects that can be attributed to external circumstances. The warranty for consumables and wear parts (e.g. batteries, etc.) is also excluded.

Yoyoni uses hyperlinks on www.yoyoni.com only for the customer's easier access to other web offers. Yoyoni can neither know the content of this website in detail nor assume liability or any other responsibility for the content of this website
10. Data protection
Yoyoni may process and use the data recorded in the context of the conclusion of the contract to fulfill the obligations from the purchase contract and use it for marketing purposes. The data necessary for the performance of the service can also be passed on to commissioned service partners (logistics partners) or other third parties.

11. Further provisions
Yoyoni expressly reserves the right to change these terms and conditions at any time and to bring them into effect without notice.
Should individual provisions of these terms and conditions be wholly or partially void and / or ineffective, the validity and / or effectiveness of the other provisions or parts of such provisions remain unaffected. The invalid and / or ineffective provisions will be replaced by those that come closest to the meaning and purpose of the invalid and / or ineffective provisions in a legally effective manner.
